Terms & Conditions

  1. Quotations & Pricing

All quotations are valid for thirty (30) days unless otherwise stated in writing. Prices are subject to manufacturer price increases, freight adjustments, or surcharges until an order is formally accepted.

An order is considered accepted upon receipt of a valid purchase order or signed quotation issued by an authorized purchasing representative and, if required, receipt of any applicable deposit.

Unless expressly stated, prices do not include applicable taxes, freight, storage, installation, stair carries, special handling, or site-specific requirements.

Due to ongoing market volatility, Contract Source, Inc. (“CSI”) reserves the right to pass through manufacturer-imposed surcharges or increases that occur after order placement, with notice to the customer.

  1. Site Conditions & Customer Responsibilities

Customer is responsible for ensuring that the site is clean, dry, and ready to receive product at the scheduled delivery time.

Customer shall provide clear and unobstructed access for delivery vehicles, including appropriate loading dock access, delivery windows, and elevator availability where applicable. If elevator access is unavailable or insufficient, stair carry fees or additional labor charges may apply.

CSI shall not be responsible for delays, additional costs, or damages caused by improper site conditions, restricted access, or failure to meet site readiness requirements. Delivery rescheduling due to site conditions may result in additional charges.

  1. Prevailing Wage & Labor Compliance

Where delivery, installation, or related services are subject to prevailing wage, certified payroll, or similar labor compliance requirements under federal, state, or local law, such requirements must be disclosed in writing prior to quotation and order acceptance.

Any costs associated with prevailing wage rates, certified payroll reporting, site-specific labor rules, union requirements, or compliance administration are excluded from standard pricing unless expressly stated and will be quoted as an additional charge. CSI shall not be responsible for undisclosed prevailing wage obligations.

  1. Storage

Storage will be billed at prevailing monthly rates and may be invoiced prior to final delivery.

  1. Payment Terms

Credit Approval

All new accounts are subject to credit approval. CSI reserves the right to request financial references or additional documentation to establish credit terms.

Standard Payment Terms

Unless otherwise agreed to in writing, payment terms are Net Thirty (30) days from invoice date.

Deposits & Prepayment

CSI may require deposits or full prepayment for custom or made-to-order products, large project orders, or new accounts with no established payment history. Where deposits or prepayment are prohibited by law, alternative arrangements may be considered.

  1. Acceptable Forms of Payment

Accepted forms of payment include ACH or check payable to Contract Source, Inc. Credit and debit cards (Visa, MasterCard, Discover) are accepted and subject to a processing fee of three percent (3%). Credit card processing fees are non-refundable. CSI does not retain credit card information after transaction processing.

  1. Past Due Accounts & Collections

Past due balances may, to the extent permitted by law, accrue interest at a rate of two percent (2%) per month (24% APR). Accounts that become delinquent may be placed on a Cash on Delivery (COD) basis. In the event of nonpayment, customer agrees to be responsible for reasonable collection costs, including collection agency fees, court costs, and attorney fees, as permitted by law. Payments received shall be applied first to interest and collection costs, then to principal.

  1. NSF Checks

Returned or non-sufficient funds (NSF) checks will incur a processing fee of twenty-five dollars ($25.00) per occurrence. Future payments may be required in certified funds.

  1. Returns, Cancellations & Made-to-Order Products

All products sold by CSI are made-to-order unless otherwise stated. Orders are non-cancelable and non-returnable once released to the manufacturer.

  1. Warranties

All products are covered solely by the applicable manufacturer’s warranty. CSI’s responsibility is limited to passing through manufacturer warranty information and assisting, where applicable, with claim coordination. CSI is not responsible for normal wear and tear, misuse, improper installation, or modifications by others.

  1. Taxes & Exemptions

Customers claiming tax-exempt status must provide a valid and current exemption certificate prior to invoicing. Customer assumes all liability for taxes, penalties, or interest assessed if exemption is determined to be invalid.

  1. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State in which CSI is incorporated, without regard to conflict of law principles.

  1. Entire Agreement

These Terms & Conditions constitute the entire agreement regarding the subject matter and supersede all prior discussions or representations unless modified in writing by CSI.
